CALAFIORI GENESIS NFT LICENSE

1. Ownership of the NFT

Each CALAFIORI Genesis NFT is a unique 1/1 ERC-721 token issued on Robinhood Chain.

Ownership of a Genesis NFT gives the holder ownership of the blockchain token itself and the right to transfer, sell or otherwise dispose of that token, subject to applicable law and the rules of the platform used for the transaction.

2. Intellectual Property Ownership

All copyright, trademark rights, character rights, design rights and other intellectual property rights relating to CALAFIORI, Cali, the CALAFIORI name, characters, artwork, visual identity, logos, designs and the wider CALAFIORI universe remain exclusively with the creator and/or applicable rights holder.

Purchasing or otherwise acquiring a Genesis NFT does not transfer copyright or any other intellectual property ownership in the associated Artwork or the CALAFIORI brand.

3. License Granted to NFT Holders

For as long as you lawfully own a Genesis NFT, you are granted a worldwide, non-exclusive, non-transferable (except together with the NFT), royalty-free license to:

1. display the associated Artwork for personal, non-commercial purposes;
2. display the Artwork on NFT marketplaces, wallets, galleries and social-media profiles for the purpose of identifying, displaying or promoting your ownership of the Genesis NFT; and
3. display the Artwork in connection with the lawful sale or transfer of the Genesis NFT.

4. Commercial Use

Ownership of a Genesis NFT does not grant a commercial license to the associated Artwork or the CALAFIORI intellectual property.

Without prior written permission from the applicable rights holder, the holder may not use the Artwork, CALAFIORI characters or CALAFIORI intellectual property for commercial purposes, including merchandise, clothing, advertising, products, services, games, tokens, cryptocurrencies, NFT collections, commercial websites or other revenue-generating activities.

5. Prohibited Uses

A Genesis NFT holder may not, without prior written authorization:

1. reproduce or distribute the Artwork commercially;
2. create or sell merchandise incorporating the Artwork or CALAFIORI characters;
3. create derivative NFT collections or other digital assets based upon the Artwork;
4. use the Artwork or CALAFIORI intellectual property to create, promote or associate with another cryptocurrency, token or blockchain project;
5. register or attempt to register trademarks, company names, domain names, social-media accounts or other identifiers incorporating CALAFIORI, Cali or confusingly similar names or designs;
6. sublicense, sell or otherwise purport to transfer intellectual property rights in the Artwork independently from the Genesis NFT; or
7. represent or imply that the NFT holder is the creator, owner, official representative, partner or authorized operator of CALAFIORI.

6. Modifications and Derivative Works

This License does not grant permission to create commercial derivative works based upon the Artwork or CALAFIORI characters.

Reasonable resizing, cropping or formatting solely for permitted display of the NFT is allowed, provided it does not materially alter the Artwork or create a misleading representation of CALAFIORI.

7. Transfer of the NFT

The license granted under Section 3 exists only while the holder lawfully owns the applicable Genesis NFT.

Upon sale or transfer of the NFT, the previous holder's license automatically terminates, and the permitted license passes to the new lawful holder of the NFT subject to this License.

8. Creator Royalties

CALAFIORI Genesis NFTs implement the ERC-2981 royalty standard with a creator royalty of 5%.

Actual collection or enforcement of royalties may depend on the marketplace, protocol or transaction mechanism used for a particular sale. The existence of the ERC-2981 royalty specification does not guarantee that every marketplace or transaction will enforce or collect the royalty.

9. No Rights in the CALAFIORI Brand

Nothing in this License grants the NFT holder ownership of, or any license to commercially exploit, the CALAFIORI name, CALAFIORI trademarks, Cali character identity, logos, branding, story, universe or other intellectual property except for the limited display rights expressly granted in Section 3.

10. No Affiliation with Robinhood

CALAFIORI is an independent project built on Robinhood Chain and is not affiliated with, endorsed by, sponsored by or officially connected with Robinhood Markets, Inc. or its affiliates.

Robinhood and related names and marks belong to their respective owners. Ownership of a CALAFIORI Genesis NFT does not grant any rights in Robinhood trademarks, branding or intellectual property.

11. No Investment Rights

A Genesis NFT represents ownership of a digital collectible. Ownership does not by itself provide equity, ownership, governance rights, profit-sharing rights or any other ownership interest in CALAFIORI, any company associated with CALAFIORI, or the $FIORI token.

Nothing in this License constitutes financial, investment, legal or tax advice.

12. Blockchain and Marketplace Risks

Genesis NFTs exist on a blockchain and may interact with third-party wallets, marketplaces, smart contracts and infrastructure.

The creator does not control third-party marketplaces or guarantee their continued operation, compatibility, availability, royalty enforcement or treatment of the NFTs.

13. Reservation of Rights

All rights not expressly granted under this License are reserved by the applicable copyright and intellectual property rights holder.

14. Governing Law

This License shall be governed by and construed in accordance with the laws of creator jurisdiction, and disputes relating to this License shall be subject to this jurisdiction.
